1. Introduction

These Terms of Service ("Terms") govern your access to and use of the WDM2VST Ultra software ("Software") and the website at wdm2vst.com ("Website"), both operated by GeekASMR ("we", "us", "our"). By purchasing, downloading, installing, or using the Software, you agree to be bound by these Terms.

2. License Grant

Subject to your full and timely payment and ongoing compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, perpetual license to install and use one copy of the Software on a single computer that you own or control, for your personal or internal business use.

3. Restrictions

You agree that you will not, and will not permit any third party to:

• Copy, modify, or create derivative works of the Software, except where expressly permitted by applicable law;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent permitted by applicable law that may not be excluded by contract;
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your license key to any third party;
• Remove or alter any proprietary notices, labels, or marks on or in the Software;
• Use the Software to develop a competing product, or to circumvent any technical limitations or security mechanisms in the Software;
• Use the Software in any way that violates applicable law or infringes the rights of any third party.

4. Ownership

The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, and other intellectual property rights. No rights are granted to you other than the limited license expressly stated in these Terms.

5. Updates and Maintenance

We may, at our discretion, provide updates, bug fixes, or new versions of the Software. Free updates are provided within the same major version. Upgrades to a new major version may require an additional payment. We are not obligated to provide any specific update or to maintain backward compatibility.

6. Payment, Reseller, and Taxes

Purchases of the Software are processed by Paddle.com Inc. and Paddle.com Market Limited (collectively, "Paddle"), our authorized reseller and Merchant of Record. Paddle handles billing, payment processing, and the collection and remittance of any applicable sales tax, VAT, GST, or similar tax based on your billing country.

All prices are in U.S. Dollars unless otherwise stated. You are responsible for providing accurate billing information.

7. Refunds

Refund eligibility is governed by our Refund Policy, which forms part of these Terms.

8. License Activation and Anti-Piracy

The Software requires online activation using a license key delivered after purchase. You agree not to share, publish, or distribute your license key. We reserve the right to revoke any license key that we reasonably believe has been shared, leaked, or used in violation of these Terms, and to require reactivation if abuse is suspected.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM LOSS OF DATA OR AUDIO ARTIFACTS, OR THAT IT WILL BE COMPATIBLE WITH ANY SPECIFIC HARDWARE, OPERATING SYSTEM, OR HOST APPLICATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GEEKASMR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER ARISING IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless GeekASMR from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Software in violation of these Terms or applicable law.

12. Termination

These Terms remain in effect until terminated. We may terminate your license immediately if you breach these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Software will be resolved by the competent courts located at the seller's place of business, unless mandatory consumer protection laws of your country of residence require otherwise.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Material changes will be communicated by email when reasonable. Your continued use of the Software after the effective date constitutes acceptance of the updated Terms.
